Terms of Service

By accessing or using PyHall, including pyhall.dev and related applications, APIs, SDKs, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity, and "you" means that entity.

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms. Continued use after any update constitutes acceptance of the revised Terms.

2. Service Description and Changes

PyHall provides AI worker registry, worker attestation, verification, governance, routing, and related tooling and documentation. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We may modify, add, suspend, or discontinue any part of the Service at any time, with or without notice. Portions of the Service may be identified as "Beta" or "Early Access." These features are provided for testing purposes, may contain bugs, and may be unsuitable for production-critical environments.

3. Accounts, Credentials, and Security

You are responsible for:

  1. Maintaining account confidentiality and security.
  2. All actions taken using your credentials.
  3. Key custody and authorization controls for namespace signing keys.

Any action performed with valid credentials is deemed authorized by you unless prohibited by applicable law.

4. Namespace Rules and Reservation Rights

PyHall namespaces (including org.* and x.*) are subject to approval, reservation, suspension, transfer, or revocation at our sole discretion, including to prevent impersonation, fraud, trademark abuse, abuse of well-known brands, or threats to platform trust and safety. No namespace assignment is guaranteed. All namespace assignments are subject to withdrawal.

5. Attestation and Verification Model (No Absolute Security Guarantee)

PyHall supports worker attestation and runtime verification controls. These controls improve integrity and traceability but do not guarantee prevention of all compromise, tampering, downtime, abuse, or third-party attacks. You remain responsible for your deployment, key management, code quality, and operational controls. PyHall does not control and is not responsible for the autonomous actions, logic, or outputs generated by registered AI workers. You assume all risk associated with the deployment and behavior of such workers in your environment.

6. Fees, Billing, Taxes, and Renewals

If you purchase paid plans:

  1. You authorize us (and our payment processors) to charge applicable fees, taxes, and recurring subscription charges.
  2. Fees are non-refundable except as required by law or expressly stated in writing.
  3. Subscriptions auto-renew unless canceled before renewal.
  4. We may suspend or terminate accounts for non-payment.
  5. You are responsible for all applicable taxes other than taxes on our net income.

7. Acceptable Use

You may not use the Service to:

  1. Violate laws or regulations.
  2. Infringe intellectual property (IP) or privacy rights.
  3. Attempt unauthorized access, interference, scraping abuse, reverse engineering (except where prohibited by law), or security circumvention.
  4. Distribute malware, harmful code, or deceptive content.
  5. Abuse platform resources, spam, or evade restrictions.
  6. Misrepresent identity, affiliation, authorization, or namespace ownership.
  7. Exceed rate limits or usage quotas established for the Service.

8. Customer Content and Data Rights

You retain ownership of your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, cache, copy, analyze, and display Customer Content as necessary to provide, secure, operate, and improve the Service, enforce these Terms, and comply with law. We may create and use de-identified and aggregated data for analytics, security, reliability, and product improvement.

9. Privacy

Your use of the Service is subject to our Privacy Policy.

10. Intellectual Property

All Service software, branding, documentation, and platform materials are owned by PyHall (or licensors) and protected by law. No ownership is transferred to you. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service.

11. Feedback

If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

12. Third-Party Services

The Service may integrate with third-party providers (for example, cloud, payment, source control, model providers). We are not responsible for third-party services, availability, or terms. Where Service content includes third-party open-source software, the terms of the applicable open-source licenses govern that software.

13. Suspension and Termination

We may suspend, restrict, or terminate access immediately, with or without notice, for any of the following:

  1. Security risk or abuse.
  2. Suspected fraud or illegal activity.
  3. Violation of these Terms.
  4. Payment failure.
  5. Operational, legal, or compliance necessity.

Upon termination, your rights to access and use the Service cease immediately.

14. Worker Integrity Enforcement (Banned Hashes)

To protect platform integrity, PyHall may designate specific worker/package hashes as banned when we reasonably determine they are malicious, compromised, unauthorized, unsafe, deceptive, or otherwise inconsistent with Service trust and security requirements. If a hash is banned, PyHall may deny registration, verification, routing, dispatch, execution, or continued operation of that worker/package immediately, with or without notice. Hash-based enforcement may be automated and may apply network-wide. A banned hash may be enforced even if the related account or namespace remains active.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (1) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. (2) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

17. Indemnification

You will defend, indemnify, and hold harmless PyHall and its developers, affiliates, officers, employees, and agents from third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Content, your violation of these Terms or law, or your products/services that use or rely on the Service.

18. Confidentiality

Each party will protect the other party's Confidential Information using reasonable care and use it only for authorized purposes under these Terms, except where disclosure is required by law.

19. Export Controls and Sanctions

You represent that you are not prohibited from receiving the Service under applicable export control or sanctions laws, and you will comply with all such laws.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Indiana, United States, excluding conflict-of-law rules. Any dispute will be resolved by binding individual arbitration in the State of Indiana, and each party waives class/collective actions and jury trial to the maximum extent permitted by law.

21. Class Action Waiver

To the maximum extent permitted by law, claims must be brought in an individual capacity, not as plaintiff or class member in any class or representative proceeding.

22. Changes to Terms

We may update these Terms at any time. Changes are effective when posted (or on stated effective date). Continued use after changes take effect constitutes acceptance.

23. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction in connection with merger, acquisition, financing, reorganization, or sale of assets.

24. Force Majeure

We are not liable for failure or delay caused by events beyond reasonable control, including outages, infrastructure failures, natural disasters, war, labor disruption, or governmental actions.

25. Notices

Notices may be provided via email, account dashboard, or website posting. Formal legal notices to PyHall must be sent to: legal@pyhall.dev.

26. Entire Agreement

These Terms, plus incorporated policies and order forms, are the entire agreement regarding the Service and supersede prior understandings.
